Please read these Terms of Service ("Terms") carefully before using the Countdown Timer application ("App") operated by Countdown Timer ("we", "us", or "our").

1. Acceptance of Terms

By installing, accessing, or using our App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

2. Description of Service

Countdown Timer is a Shopify application that allows merchants to create and display countdown timers on their online stores. The App provides various timer styles, customization options, and scheduling features to help merchants create urgency and boost sales.

3. Account Requirements

To use the App, you must:

  • Have a valid Shopify store account
  • Be at least 18 years of age
  • Provide accurate and complete information during installation
  • Maintain the security of your account credentials

4. Pricing

The App is provided completely free of charge. All features are available at no cost to users. We reserve the right to introduce paid features in the future, but any existing free features will remain free.

5. Acceptable Use

You agree not to use the App to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Display false, misleading, or deceptive content
  • Interfere with or disrupt the App's functionality
  • Attempt to gain unauthorized access to our systems
  • Use the App for any illegal or unauthorized purpose

6. Intellectual Property

The App, including all content, features, and functionality, is owned by Countdown Timer and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our written permission.

7. User Content

You retain ownership of any content you create using the App (such as timer configurations and custom text). By using the App, you grant us a license to use this content solely for the purpose of providing and improving the App's services.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE APP.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Countdown Timer and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App or violation of these Terms.

11. Termination

We may terminate or suspend your access to the App at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the App will immediately cease
  • Any data associated with your account may be deleted
  • Provisions of these Terms that should survive termination will remain in effect

12. Modifications to the App

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the App.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the App after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Countdown Timer regarding the use of the App.
